PERSONAL GUARANTEE
In consideration of credit being extended by System Packaging Co., Inc. ("Creditor") to the above-named applicant ("Applicant"), the undersigned ("Guarantor") unconditionally and irrevocably guarantees the full and prompt payment of all amounts owed to Creditor by Applicant, including all purchases of merchandise, whether now existing or hereafter incurred.
Guarantor waives all rights to notice of any kind in connection with this Guarantee, including but not limited to notice of acceptance, credit extensions, default, dishonor, or any modification of terms granted to Applicant, as well as any right to presentment, demand, or protest.
This Guarantee is continuing, unconditional, and may not be revoked without the prior written consent of Creditor. Creditor's failure to pursue any remedy against Applicant shall not release or diminish Guarantor's obligations hereunder.
This Guarantee shall be governed by and construed in accordance with the laws of the State of California. Guarantor hereby consents to the exclusive personal jurisdiction of the federal and state courts located in California, waives any objection to venue or convenience of forum, and agrees that any litigation arising out of or relating to this Guarantee shall be brought exclusively in the state or federal courts of California.
CERTIFICATION & AUTHORIZATION
I hereby certify that all information provided in this credit application is true, complete, and accurate. I understand that this information will be used solely to determine the terms and conditions of credit to be extended by System Packaging Co., Inc. I further authorize all financial institutions and trade references listed herein to release relevant account and credit information to System Packaging Co., Inc. for the purpose of verifying the information contained in this application.
